Welcome to Lintel Shanghai, operated by Shanghai Xuanmei Investment and Consultant Ltd Co. is part of Lintel Group, Inc. which includes the former company and Shanghai Xuanmei Real Estate Agency. By using Lintel Group’s sites (defined to include all properties (mobile, Web or otherwise) owned and operated by Lintel Group), related data, and/or related services (collectively, "Services"), you agree to be bound by the following terms of use, as updated from time to time ("Terms of Use").

1. Permissible Use.

Unless you are a real estate consultant affiliated to Lintel Group or your permission is approved by Lintel Group, you agree to use the Services for your personal use, and your commercial use is limited to transactions done on your own behalf. Subject to the restrictions set forth in the following paragraphs, you may copy information from the Services only as necessary for your personal use to view, save, print, fax and/or e-mail such information. You agree otherwise not to reproduce, modify, distribute, display or otherwise provide access to, create derivative works from, decompile, disassemble or reverse engineer any portion of the Services. In addition, you agree not to provide/post/authorize a link to any of the Services (including but not limited to your profile page) from a third party website that is not a real estate related website owned or operated by a real estate agency. Notwithstanding the foregoing, the aggregate level data provided on the Services (the “Aggregate Data”) may be used for non-personal uses, e.g., real estate market analysis. You may display and distribute derivative works of the Aggregate Data (e.g., within a graph), as long as Lintel Group is cited as a source.

2. Restrictions and Additional Terms.

You agree not to remove or modify any copyright or other intellectual property notices that appear in the Services. You will not use the Services for resale, service bureau, time-sharing or other similar purposes. Further:

You agree not to distribute or post spam, chain letters, pyramid schemes, or similar communications through the Services. You agree not to impersonate another person or misrepresent your affiliation with another person or entity. Except as expressly stated herein, these Terms of Use do not provide you a license to use, reproduce, distribute, display or provide access to any portion of the Services on third-party Websites or otherwise. Except as expressly stated herein and without limitation, you agree that you will not, nor will you permit or encourage any third party to, reproduce, publicly display, or otherwise make accessible on or through any other Website, application, or service any reviews, ratings, and/or profile information about real estate, or other professionals, underlying images of or information about real estate listings, or other data or content available through the Services.

Automated queries (including screen and database scraping, spiders, robots, crawlers and any other automated activity with the purpose of obtaining information from the Services) are strictly prohibited on the Services, unless you have received express written permission from Lintel Group. As a limited exception, publicly available search engines and similar Internet navigation tools ("Search Engines") may query the Services and provide an index with links to the Services' Web pages; only to the extent such unlicensed "fair use" is allowed by applicable copyright law. Search Engines are not permitted to query or search information protected by a security verification system ("captcha") which limits access to human users.

d. Calls.

If you, as a consumer, choose to contact a real estate consultant through the Services by filling out a contact or other request form on the Services, you authorize Lintel Group to provide your name and contact information and other identifying information you provide to the applicable real estate consultant. You acknowledge that, by submitting your contact request or other request form on the Services, you may receive telemarketing calls from or on behalf of the real estate consultant at the telephone number(s) you provide.

The Services may provide phone numbers that can connect you with Lintel Group, its service providers, or other third parties, such as admission departments of the international schools. Some of the numbers listed may be routed through a third party service ("Calling Service"). Calls through the Calling Service may be recorded or monitored for quality assurance and customer service purposes. In the event that you make a call to Lintel Group or through a Calling Service, you consent to such recording and monitoring. Lintel Group will treat recorded calls in accordance with its Privacy Policy.

3. Materials You Provide; Account Use; Privacy; Third Party Web Sites.

For materials you post or otherwise provide to Lintel Group in connection with the Services (your "Submission"), you grant Lintel Group an irrevocable, perpetual, royalty-free worldwide license to (a) use, copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, modify, prepare derivative works of or incorporate into other works, and translate your Submission, in connection with the Services or in any other media, and (b) sublicense these rights, to the maximum extent permitted by applicable law. Lintel Group will not pay you for your Submission or to exercise any rights related to your Submission set forth in the preceding sentence. Lintel Group may remove or modify your Submission at any time. For each Submission, you agree to provide accurate and complete information and represent that you have all rights necessary to grant Lintel Group the rights in this paragraph, that Lintel Group’s use of the Submission will not infringe any third party rights and that the Submission complies with Section 2(a) above. You are solely responsible for all Submissions made through your user account(s) on the Services or that you otherwise make available through the Services. You may not share your user account(s) with others. You are responsible for all actions taken via your account. Lintel Group will treat your use of the Services in accordance with its Privacy Policy.

Lintel Group's business is partially funded through advertising. You understand and agree that the Services may include advertisements, and that these are necessary to support the Services. To help make the advertisements relevant and useful to you, Lintel Group may serve advertisements based on the information we collect from you or in relation to your interaction on our site. See the Privacy Policy for more details.

5. The Role of Lintel Group.

Lintel Group, Inc. is a licensed real estate broker in Shanghai China. Lintel Group acts as a real estate consultant for you or any other user in without limited to consulting rental prices comparable in the market, helping owners manage their properties, finding potential tenants, negotiating the lease and preparing contracts for tenants and property owners and provide after-sale services, introducing home improvement pros and/or property managers to property owners & help to stage properties for property owners for higher rental prices. Further, Lintel Group does transact properties, offer to purchase or sell, or negotiate the purchase of real property or otherwise aid or assist in the purchase of real property.

6. Software.

The Services may include software for use in connection with the Services. If such software is accompanied by an end user license agreement ("EULA"), the terms of the EULA will govern your use of the software. If such software is not accompanied by an EULA, then Lintel Group grants to you a non-exclusive, revocable, personal, non-transferable license to use such software solely in connection with the Services and in accordance with these Terms of Use (for example, Sections 1, 2, 9, and 10 ).

You understand that Lintel Group has no obligation to, and generally does not, approve or monitor materials provided by third parties through the Services. Your dealings with any third party arising in connection with the Services are solely between you and such third party, and Lintel Group takes no responsibility for any damages or costs of any type arising out of or in any way connected with your dealings with these third parties.

8. Claims of Copyright Infringement.

Lintel Group respects the intellectual property rights of others, and asks that everyone using the Services do the same. Anyone who believes that their work has been reproduced on the Services in a way that constitutes copyright infringement may notify Lintel Group in accordance with Intellectual Property Law in China, by providing the following information:

9. Intellectual Property.

The Services are the property of Lintel Group, and subject to the intellectual property rights of Lintel Group and its licensors. All rights reserved. You may not use any of Lintel Group's trademarks as part of your screen name or email address on the Services. The names of actual companies, products, and services mentioned herein may be the trademarks of their respective owners. Any rights not expressly granted herein are reserved.

Lintel Group does not assert copyright or grant any rights to the underlying images or descriptions of real estate listings provided through the Services. Any use of these images and descriptions is subject to the copyright owner's permission and/or the requirements of applicable law.

10. No Warranties

Lintel group provides the services “as is,” “with all faults” and “as available,” and the entire risk as to satisfactory quality performance, accuracy, and effort is with you. To the maximum extent permitted by applicable law, Lintel group and its suppliers make no representations, warranties or conditions, express or implied. Lintel group and its suppliers expressly disclaim any and all warranties or conditions, express, statutory and implied, including without limitation (A) warranties or conditions of merchantability, fitness for a particular purpose, workmanlike effort, accuracy, title, quiet enjoyment, no encumbrances, no liens and no-infringement, (B) warranties or conditions arising through course of dealing or usage of trade, and (C) warranties or conditions of uninterrupted or error-free access or use.

11. Liability Limitation; Exclusive Remedy

In no event will Lintel group or any supplier be liable for any damages, including without limitation any indirect consequential, special, incidental, or punitive damages arising out of, based on, or resulting from these terms of use or your use of the Services, even if such party has been advised of the possibility of such damages. The exclusion of damages under this paragraph is independent of your exclusive remedy set forth below and survives in the event such remedy fails of its essential purpose or is otherwise deemed unenforceable. These limitations and exclusions apply without regard to whether the damages arise from (A) Breach of Contract, (B) Breach of Warranty, (C) Negligence, or (D) Any other cause of action, to the extent such exclusion and limitations are not prohibited by applicable law. If you do not agree with any part of these Terms of Use, or you have any dispute or claim against Lintel group or its suppliers with respect to these Terms of Use or the Services, then your sole and exclusive remedy is to discontinue using the Services.

Any changes will be effective immediately upon posting the revised version of these Terms of Use to the Services. Your continued use of the Services after the effectiveness of such changes will constitute acceptance of and agreement to any such changes. You further waive any right you may have to receive specific notice of such changes to these Terms of Use. You are responsible for regularly reviewing these Terms of Use. LINTEL Group may alter, suspend or discontinue the Services at any time to you and/or to others, without notice.

13. Choice of Law; Disputes.

These Terms of Use are governed by the laws of People’s Republic of China, without giving effect to its conflict of law’s provisions. You agree to submit to exclusive jurisdiction and venue in the supreme courts in Shanghai China for any and all disputes, claims and actions arising from or in connection with the Services and/or these Terms of Use. In any dispute arising under this Agreement, the prevailing party will be entitled to attorneys' fees and expenses.

这些使用条款受中华人民共和国法律的管辖，不影响其法律规定的冲突。您同意接受中国上海最高法院的专属司法管辖权和地点，以处理与本服务和/或本使用条款有关或与之有关的任何争议，索赔和诉讼。在根据本协议产生的任何争议中，胜诉方将有权收取律师费和开支。

14. Indemnification.

You agree to defend and hold Lintel Group, its affiliates, and their respective directors, officers, employees, and consultants harmless from any and all claims and demands made by any third party due to or arising out of your breach of these Terms of Use, your use of the Services, your violation of any law or the rights of a third party, or any Submission made through your user account on the Services or that you otherwise make available through the Services.

You release Lintel Group, its affiliates, and their respective directors, officers, employees and consultants from all liability related to any and all claims and demands you may assert against any third party arising out of the Services.

16. General.

You agree not to export from anywhere any part of the Services provided to you or any direct product thereof except in compliance with and with all licenses and approvals required under, applicable export laws, rules and regulations. All Services used by the Chinese Government are provided with the commercial license rights described herein. If any part of these Terms of Use is determined to be invalid or unenforceable, then the invalid or unenforceable provision will be replaced with a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of these Terms of Use will continue in effect. The sections in these Terms of Use are solely used for the convenience of the parties and have no legal or contractual significance. Lintel Group may assign this Agreement, in whole or in part, at any time with or without notice to you. You may not assign these Terms of Use, or assign, transfers or sublicense your rights, if any, in the Service. Lintel Group's failure to act with respect to a breach by you or others does not waive its right to act with respect to subsequent or similar breaches. Except as expressly stated herein, these Terms of Use constitute the entire agreement between you and Lintel Group with respect to the Services and supersede all prior or contemporaneous communications of any kind between you and Lintel Group with respect to the Services. The following sections of these Terms of Use shall survive any termination of these Terms of Use: 3, 9, 10, 11, 13 through 16.

Lintel Group strives to provide open and transparent information about real estate markets. For example, we make available past sales and rental prices for homes, and allow any user to post a question or answer about a given home. Many times, this information is already publicly available. As long as discussion surrounds real estate and not individuals, we intend to keep this information freely available through the Services.

You understand that if you post a listing, you will be added to the Lintel online Database, which is available to all consultants in Lintel Group. The online Database includes certain Personal Information you provide to us, such as your name, email and other contact information.

Listings Quality Policy

Users of Lintel Group (including all Individual landlords, Corporate Landlords, Home Improvement Pros, Property Managers and Lintel Consultants) acknowledge and agree to comply with the following Listings Quality Policy (the "Policy"). Lintel Group reserves the right to remove any content that violates any of Lintel's terms of use or policies, or is otherwise inappropriate. In the event that Lintel Group discovers a violation of any of Lintel's terms of use or policies, Lintel group may remove all or certain portions of your listings from our websites, our mobile and desktop applications, our other properties and/or our related services (collectively called the “the Service”), terminate your Lintel account(s) and/or restrict your access to the Service.

1. Advertising Listing.

a. Advertising Listings.

Except as provided in this section 1(a), listings (regardless of the type) can only be advertised by users including individual landlords, corporate landlords, home improvement pros, Property managers and Lintel Consultants. Individual landlords must be the person who owns the listing or who is the legal representative of the owner of such listing; corporate landlords, home improvement pros and property managers must be the contracted, exclusive entity of such listing. A listing may also be advertised by the exclusive listing person's company or team lead. A company or team lead that advertises a listing on behalf of the listing person must update their profile on the Service so it represents the team or company instead of an individual person. This can be done by changing the profile name and picture. Once a profile represents the office, permission from the listing person is also required for the company or team lead to advertise another person's listings. Only after the confirmation and approval of Lintel Group, the advertised listing will be listed on the Service.

b. Claiming Listings.

If you mistakenly post a listing, you must promptly contact the source of the data feed to cancel the listing. If you claim a listing that has already been posted by another party and you believe that someone has erroneously post a listing on Lintel, Please notify us for further investigation. Lintel has the exclusive authority to delete or keep any listings.

As long as you are the contracted, exclusive listing entity, you may verify any listings by comparing your contact details on the Services. Lintel Group may require that you provide the listing contract(s) or document(s) that verify you have an exclusive right to advertise the listing. If Lintel Group is unable to verify that you are the contracted, exclusive listing entity, Lintel Group may dismiss your query.

The Services are limited to real estate. You may not use the Services to advertise anything unrelated to real estate.

If the listing includes a hypertext link, the hypertext link may only link to Your website and may not link to the Broker Portal Project website or successor site(s), or any site that is not 100% owned and controlled by you or your employees.

2. Limitations on Self-Promotion and Marketing.

Lintel Group restricts the inclusion of self-promoting information on listings. This includes, but is not limited to, self-promotion on photos and/or listing descriptions.

a. Photos and Video Walkthroughs. You may not include marketing information, including, without limitation, an Agent's name, company name, logo, phone number and/or email address on listing photos or in video walkthroughs, whether as text, a watermark, or otherwise.

a. Complete Data Set. Listing feeds that do not include a complete set of data that includes, without limitation, photos, listing description and home facts, will not be accepted. You may not intentionally degrade the data you send to Lintel Group in the listing feed in any manner.
